Terms of Service

The agreement governing your organization's use of the PaySymmetry™ pay equity analysis platform.

Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between PaySymmetry ("we," "us," or "our") and the organization that creates an account ("Customer," "you," or "your") for the PaySymmetry™ pay equity analysis platform ("Service").

By creating an account, clicking "I agree," or using the Service, you confirm that you have the authority to bind your organization to these Terms and that your organization agrees to be bound by them. If you do not agree, do not use the Service.

Individual users invited to join your organization's account are subject to these Terms through your organization's acceptance of them.

Description of Service

PaySymmetry™ is a cloud-based software platform that enables organizations to upload workforce compensation data, run statistical pay equity analyses using ordinary least squares (OLS) regression, visualize results, generate pay transparency disclosure documents, and manage data retention and compliance workflows.

The Service is provided on a subscription basis. Available plans, features, and pricing are described at the time of purchase and may be updated with reasonable notice.

We reserve the right to modify, suspend, or discontinue features of the Service with 30 days' notice, except where required by law or in response to an emergency security issue.

Accounts & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@paysymmetry.com if you suspect unauthorized access.

Each subscription plan includes a maximum number of seats (active users). Exceeding your seat limit requires upgrading your plan. Starter: 2 seats. Pro: 10 seats. Enterprise: unlimited. You may not share login credentials across multiple individuals.

Organization administrators may invite team members, assign roles (Admin, Analyst, Viewer), and remove members. Administrators are responsible for the actions of all users within their organization's account.

Customer Data & Ownership

You retain full ownership of all data you upload to the Service ("Customer Data"), including workforce files, compensation records, and analysis results. You grant us a limited, non-exclusive license to process Customer Data solely to provide the Service.

You represent and warrant that: (a) you have the legal right to upload and process the Customer Data; (b) doing so does not violate any applicable law, including data protection laws applicable to your employees; and (c) you have obtained any required consents or have an appropriate legal basis for transferring employee data to the Service.

We do not sell Customer Data, use it to train machine learning models, or share it with third parties except as described in our Privacy Policy (sub-processors required to deliver the Service).

You may delete all Customer Data at any time from Account → Delete all data. Deletion is permanent and irreversible. We will complete deletion within 30 days of your request, consistent with GDPR Article 17.

Acceptable Use

You agree not to use the Service to:

  • Upload data you do not have the right to process
  • Violate any applicable law, including employment, privacy, or anti-discrimination laws
  • Attempt to access other customers' data or circumvent security controls
  • Reverse engineer, decompile, or extract the source code of the Service
  • Resell or sublicense access to the Service without our written consent
  • Use the Service in a way that places disproportionate load on our infrastructure
  • Upload malicious code, viruses, or any content that could harm the Service or other users

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

Statistical Outputs & Limitations

The pay equity analyses produced by PaySymmetry™ are statistical outputs generated by an ordinary least squares (OLS) regression model. They are provided for informational and compliance-planning purposes only.

You acknowledge that: (a) statistical analyses are dependent on the quality, completeness, and accuracy of the data you provide; (b) the results should be reviewed by qualified HR professionals and, where appropriate, legal counsel before being used to make employment decisions or compensation changes; (c) pay transparency reports generated by the platform may require review by legal counsel to confirm compliance with specific local regulations.

PaySymmetry does not provide legal, accounting, or HR consulting advice through the Service. Nothing in the Service or its outputs constitutes legal advice.

Billing & Subscriptions

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Stripe. By providing a payment method, you authorize us to charge the applicable subscription fee on each billing cycle.

Subscriptions automatically renew unless canceled before the renewal date. You may cancel at any time via Billing → Manage subscription. Cancellation takes effect at the end of the current billing period; we do not provide refunds for partial periods.

If a payment fails, we will notify you by email. Access to the Service will be suspended after a grace period of 7 days from the failed payment. You may update your payment method via the billing portal to restore access. Accounts suspended for more than 60 days may be terminated.

We reserve the right to change pricing with 30 days' notice. Price changes will not apply to the current billing period.

Intellectual Property

The Service, including its software, algorithms, user interface, and documentation, is owned by PaySymmetry and protected by copyright, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term, solely for your internal business purposes.

If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service without any obligation to you.

Confidentiality

Each party agrees to keep confidential the other party's non-public information disclosed in connection with the Service ("Confidential Information") and not to use it except to exercise rights or fulfill obligations under these Terms.

Customer Data is your Confidential Information. Our non-public technical architecture, pricing, and roadmap information is ours. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Warranties & Disclaimers

We warrant that the Service will perform materially as described in our documentation and that we will implement reasonable security measures to protect Customer Data.

Disclaimer: EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYSYMMETRY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $500. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless PaySymmetry, its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) Customer Data you upload, including any claims that your collection or transfer of that data violated applicable law; or (c) your violation of any third-party rights.

Termination

Either party may terminate these Terms: (a) at any time for convenience with 30 days' written notice; or (b) immediately if the other party materially breaches these Terms and fails to cure within 14 days of written notice.

We may suspend or terminate your account immediately and without notice if we reasonably believe your use poses a security risk to the Service or other customers, or if required by law.

Upon termination: your access to the Service ceases immediately; we will make your Customer Data available for export for 30 days; after 30 days, Customer Data will be permanently deleted. Sections on Customer Data ownership, intellectual property, confidentiality, warranties, liability, indemnification, and governing law survive termination.

Governing Law & Disputes

These Terms are governed by the laws of the State of Pennsylvania, United States, without regard to its conflict of laws provisions.

Any dispute arising from these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings in York, Pennsylvania. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property or confidentiality obligations.

For customers located in the European Union or United Kingdom, nothing in these Terms limits rights you have under mandatory local consumer or data protection law.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PaySymmetry regarding the Service and supersede all prior agreements.

Modifications: We may update these Terms with 30 days' notice to organization administrators by email. Continued use after the effective date constitutes acceptance. If you do not agree to updated Terms, you may terminate your account before the effective date.

Severability: If any provision is found unenforceable, the remaining provisions remain in full force.

No Waiver: Our failure to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Notices: Legal notices to us must be sent to legal@paysymmetry.com. We will send notices to the email address associated with your account.
